Вендоры, дистрибьюторы, дилеры и конечники

Используемые термины. Участники рынка:

Вендор (англ. Vendor) – производитель, выпускающий и продающий продукцию под своей торговой маркой (ТМ – Trade Mark). Название торговой марки обычно является и именем бренда (Brand Name). Примеры вендоров: “Samsung”, “КАМАЗ”, “Красный Октябрь”, “Microsoft”. Редко, но бывает, когда один вендор выпускает продукцию не с одной, а с несколькими различными (но собственными!) торговыми марками.

Задачи участников рынка

Задача вендора – производство и сбыт производимой продукции. Всё, что произведено, должно быть продано, и желательно скорее. Массовый и устойчивый сбыт осуществляется через дистрибьюторов.

Задача дистрибьютора – перепродажа и продвижение продукции от производителей – дилерам. Сроки не так важны, как регулярность. Ещё важен объем: чем больше объём, тем лучше. Дистрибьюторы организуют мероприятия по продвижению продукции различных вендоров: выставки, семинары, промо-акции…

Задача дилера – продажи/поставки товаров конечным заказчикам в соответствии с их требованиями, и как можно в больших объемах.

Задача конечного потребителя – купить нужный товар/продукцию, удовлетворяющую определенным условиям (характеристики, цена, объем, качество).

Основные приоритеты участников рынка

Вендору важна репутация его продукции на рынке, для поддержания спроса.
Дистрибьютору (и вендору) важно долгосрочное сотрудничество с наиболее динамичными и стабильными дилерами (иметь гарантированный рынок сбыта).

Дилерам важна их деловая репутация, как надёжных поставщиков, устойчивый канал сбыта (наличие достаточной клиентской базы), возможность покупать подешевле, а продавать подороже и/или в соответствии с бюджетом конечника.

Отношения между участниками рынка

Отношения регулируются двусторонними договорами/соглашениями между участниками рынка.

При соглашениях с вендором дистрибьютор (или дилер) соглашаются способствовать продвижению продукции данного вендора (не препятствовать этому), а вендор берётся обеспечить информационную/техническую поддержку, ценовые скидки (на свою продукцию) для другой стороны (дистрибьютору или дилеру) и т.п.

Соглашения между дистрибьютором и дилером могут быть оформлены официально (подписыванием соглашения/договора) или через договоренности “на словах”, в ходе переговоров своих представителей.

Особым видом отношений является регистрация проекта по оборудованию вендора.

Цены и скидки

Дилерская цена – цена, по которой дилеры могут купить продукцию непосредственно у производителя или у дистрибьютора. Публикуется в прайсах дистрибьютора (рассылаются дилерам) или в закрытом/партнерском разделе сайта производителя или дистрибьютора (b2b-системы, например). Размер скидки (от розничной цены) для дилеров может зависеть от объема отдельной закупки (большой/малый опт), предыстории закупок и других критериев.
Особая, партнерская цена – по которой дистрибьюторы покупают продукцию у вендоров.

Проектный бонус – в некоторых случаях вендор поощряет проектировщиков, закладывающих в проекты оборудование этого вендора. Тогда интегратор (монтажная организация) может получить не только дилерскую, но и дополнительную – проектную скидку при покупке оборудования данного вендора. Если такой проект реализуется, то проектировщик может получить проектный бонус, даже если реализация (закупка/монтаж) выполнена не его (проектировщика), а другой организацией, но по его проекту.

На величину дилерской цены может влиять и тип конечного заказчика: для некоторых конечников вендоры/дистрибьюторы устанавливают специальные цены.

Пример 1. Дилер покупает у дистрибьютора по дилерской цене, а продаёт конечнику по РРЦ. Разница между розничной и дилерской ценой – прибыль («маржа») дилера.

Пример 2. Компания заложила в проект заказчику сетевое оборудование, на которое дилерская скидка = 10% (от розницы). Дополнительная проектная скидка от вендора = 5%. Итоговая скидка при реализации проекта компанией-автором проекта = (1-0,9*0,95)*100% = 14,5% (от розницы).
Если проект реализуется другой компанией (дилером), то эта компания-исполнитель получает дилерскую скидку 10%, а компания-проектировщик может затребовать и получить у вендора проектный бонус (в пределах 4,5%) за реализованный проект на его(вендора) оборудовании, при условии, что этот проект заранее был зарегистрирован у вендора.
