Недавно я писал о том, как можно дёшево и быстро зарегистрировать корпорацию в США. Сегодня расскажу, какие документы необходимо иметь такой компании (речь идёт о C-corporation, зарегистрированной в штате Делавэр).

Начнём с очевидного: у каждой корпорации должно быть свидетельство о регистрации. Если для регистрации компании вы пользуетесь онлайн-сервисом наподобие Harvard Business Services или LegalZoom, свидетельство генерируется автоматически и направляется вам уже со штампом штата Делавэр. Это значит, что свидетельство было принято, и корпорация официально существует.
Этот документ, как правило, также предоставляется сервисом по регистрации компании. Такой сервис назначает «учредителя», единственная функция которого — подать регистрационные документы и назначить изначальных членов совета директоров, которым учредитель передаёт все полномочия и больше не участвует в деятельности компании.
Ещё один документ, который можно получить через сервис регистрации и который мало отличается от компании к компании. В нём описаны внутренние правила корпорации о проведении собрания акционеров, избрании совета директоров, назначении должностных лиц и многих других процедурах.
В уставе, который входит в наш пакет, есть важное отличие от большинства шаблонов: в нём предполагается, что акции корпорации необязательно подтверждать свидетельствами о праве собственности на них (stock certificates). Это снижает внутреннюю бюрократическую нагрузку по подготовке таких свидетельств и облегчает передачу акций другим лицам.
Документ, с помощью которого совет директоров организует деятельность компании, назначает должностных лиц и одобряет распределение акций акционерам (обычно – основателям компании).
Этот договор (FSPA) используется для приобретения основателем акций в компании. Казалось бы, это очевидно, что основатель будет иметь долю в компании без каких-либо дополнительных шагов.
Распространённой особенностью FSPA является «вестинг» акций. Это значит, что они переходят в собственность основателю не сразу, а постепенно через определённые промежутки (обычно в течение четырёх лет). Это делается для того, чтобы основатель был замотивирован развивать бизнес компании долгосрочно, а не просто получить инвестиции и тут же продать свои акции.
Тем не менее к нам часто обращаются основатели, которые не привлекают инвестиции и просят убрать условия вестинга из FSPA, поэтому наш шаблон не содержит этих условий. Если случится так, что будущий инвестор настоит на вестинге, с основателем просто заключается новое соглашение, содержащее условия вестинга.
Этот договор (PIIAA) заключается не только с основателями, но также со всеми сотрудниками и консультантами компании. Он обеспечивает, что компания является правообладателем всей интеллектуальной собственности, необходимой для своей деятельности.
В PIIAA также прописаны строгие обязательства о конфиденциальности информации компании. В обмен на эти обязательства контрагенты компании получают компенсацию в виде акций, денег, трудоустройства или их комбинаций. Отсутствие правильно и своевременно оформленных PIIAA ставит крест на любых вложениях в компанию от американских инвесторов.
Таблица капитализации или Cap Table — документ, в котором указаны акционеры компании, количество и процент акций, принадлежащих им, и, при наличии, выданные сотрудникам опционы. Cap Table даёт мгновенную картину о структуре капитала компании и позволяет моделировать, насколько размоются текущие акционеры при дополнительной эмиссии акций.
Несмотря на то, что эти документы, строго говоря, не являются необходимыми, мы включили их в наш пакет, чтобы компания могла сразу начать работать с контрагентами. Предоставляются два шаблона соглашения о неразглашении (NDA) – односторонний и нейтральный — на выбор в зависимости от переговорной позиции компании.
Соглашение об оказании услуг является гибким документом для использования с любыми подрядчиками: разработчиками, дизайнерами, копирайтерами и другими. Этот договор позволяет быстро определить перечень услуг, а также предусматривает соблюдение конфиденциальности и защиту интеллектуальной собственности.
Пару слов о том, как надлежащим образом оформлять перечисленные выше документы. Для тех, кто привык работать в российских реалиях, это покажется необычным, но в США документы оформляются в простой письменной форме без необходимости личного присутствия и нотариального заверения.
Если у компании один основатель, он, по сути, заключает все документы сам с собой — от лица компании с одной стороны, и от себя лично с другой. Допускается также использование сервисов электронной подписи, таких как DocuSign, Adobe Sign и PandaDoc.
